Piotr PaliłoBiuro Informacji Kapitałowych (BIK) based in Wrocław is Poland’s only firm specializing in so-called internal investor relations.

These services are intended for both companies entering the stock exchange and those already listed, which need to fulfil their formal and procedural duties, related to their being a public and listed company, within the scope of information obligations.

While entering the initial public offering procedure, company management boards entirely focus on ensuring the success of IPO. The crucial aspects here include the prospectus, meetings with investors, well-designed promotional campaigns, which facilitate effective completion of book building and the offering. The company management board and the issuer are the key players in this process.

The issuer’s internal preparation to meet all obligatory requirements of the capital market, including the information obligations, is often skipped at this stage. Moreover, the internal preparation is not the responsibility of the IPO advisors, whose main task is to ensure the success of the offering.

It is therefore BIK’s task to complement the work of other consultants by: creating and improving a proper flow of information within the company, designing relevant regulations, and drawing up procedures concerning preparation of current and interim reports.

Another very important element of BIK’s activities is the design and implementation of mechanisms safeguarding against uncontrolled purchase/disposal of company shares by management, supervisory and insider persons. The scope of services also includes consulting in appointment, proper organization and determination of tasks for an investor relations unit within the company.

As part of the cooperation with its Clients, BIK provides subject-related training aiming at proper preparation of the issuers enabling them to fulfil their information obligations and operate the Electronic System for Transfer of Information (ESPI – Elektroniczny System Przekazywania Informacji), which is the obligatory channel for passing information to the public.

In terms of practical services, BIK prepares issuers to efficiently fulfil their daily obligations resulting from the status of a public and listed company. Cooperation with BIK enables the issuers to comply, within a short period of time, with the formal and applied rules of the capital market, facilitating effective investor relations based on a well-prepared back-office of the company.
BIK is no competition to the services offered by the participants of the IPO process, including the Offerer, a legal advisor or a public relations agency. BIK complements their services.
